Terms of Service

These Terms of Service ("Terms") are a legal agreement between you ("Customer" or "Licensee") and Airvue ("Airvue" or "Licensor"), and govern your access to and use of the Airvue platform located at airvue.io (the "Site"), including all data, analytics, visualizations, and tools delivered through the Site (collectively, the "Data Services").

By creating an account or accessing the Data Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Data Services. You confirm that you are at least 18 years old and have the legal capacity to enter into this agreement.

2.1 Data Services. Airvue provides a proprietary analytics platform with short-term rental market data and property transaction analytics for Paris, gathered from multiple sources, along with data analytics tools to explore market performance, understand property earning potential, and evaluate investment opportunities (the "Data Services").

2.2 License Grant. Subject to your payment of applicable Fees and compliance with all terms of this Agreement, Airvue grants you a worldwide, non-exclusive, non-sublicensable, and non-transferable right to use the Site and Data Services during the Term solely for the Permitted Use set forth hereunder.

2.3 Permitted Use. You may use the Data Services only for your own internal business purposes. Any purpose or use not specifically authorized herein is prohibited unless otherwise agreed to in writing by Airvue.

2.4 Use Restrictions. Without limiting the foregoing, you shall not at any time, directly or indirectly: (i) license, sublicense, sell, resell, transfer, assign, disclose, distribute, or otherwise commercially exploit or make the Data Services available to any third party; (ii) disassemble, decompile, reverse engineer, or otherwise attempt to access or derive source code or trade secrets from the Site or Data Services, or modify, make derivative works based upon, copy, or otherwise use any ideas, features, functions, or graphics of the Data Services to build a similar or competitive product or service; (iii) "crawl", "scrape", or "spider" the Site or any portion thereof through manual or automated means, engage in deep-linking, or make use of data mining, robots, or similar data gathering and extraction tools; (iv) download or copy database information for the benefit of any unauthorized third party; (v) attempt to gain unauthorized access to the Site, Data Services, or related systems or networks; (vi) share passwords, share accounts, or provide false identity information to access the Data Services; (vii) use any content of the Data Services for the training of AI, machine learning, or generative AI tools; (viii) use the Data Services in any manner that infringes or violates any intellectual property right or other right of any person, or that violates any applicable law; or (ix) use the Data Services in any way that interferes with the operation of the Site or the enjoyment thereof by other users.

Violation of these restrictions may result in immediate account suspension or termination without notice or refund, and Airvue reserves the right to pursue equitable relief including injunctive remedies.

3.1 Fees. Premium subscriptions are available at the following rates: - Monthly plan: €99/month, billed monthly - Annual plan: €59/month, billed annually at €708/year

All prices are in euros (€). All subscriptions are pre-paid. Payments are processed securely through Stripe. We accept major credit and debit cards.

3.2 Taxes. All Fees are exclusive of taxes and similar assessments. You are responsible for all applicable sales, use, and value-added taxes imposed by any governmental authority on amounts payable hereunder, other than taxes imposed on Airvue's income.

3.3 Price Changes. Airvue reserves the right to modify pricing with 30 days written notice to existing subscribers. Price changes do not affect the current billing period.

4.1 Cancellation. You may cancel your subscription at any time through the Site or by contacting support@airvue.io. For monthly subscriptions, cancellation takes effect at the end of the current billing cycle. For annual subscriptions, cancellation takes effect at the end of the annual period.

4.2 No Refunds. All sales are final. Airvue does not offer refunds for any subscription period, whether monthly or annual. No partial refunds are issued for unused time. We encourage you to use the free tier to evaluate the platform before subscribing.

4.3 Waiver of Right of Withdrawal. By subscribing to the Data Services, you acknowledge and agree that you are waiving your right to withdraw from your purchase within fourteen (14) days as provided by EU Directive 2011/83/EU and Article L.221-28 of the French Consumer Code. You understand that this waiver is a condition of purchase, that the Data Services are made fully available immediately upon subscription, and that you expressly consent to the immediate performance of the service. This waiver is irrevocable.

5.1 Definition. The Data Services, including all data, analytics, methodologies, composite scores, and visualizations, constitute Confidential Information of Airvue. You shall not disclose Airvue's Confidential Information to any person or entity, except to your employees or agents who have a legitimate need to access the Data Services for the Permitted Use and who are bound by confidentiality obligations no less restrictive than those set forth herein.

5.2 Obligations. You agree to protect the confidentiality of the Data Services with at least the same degree of care you use to protect your own confidential information, but in no event less than reasonable care. You remain liable for any non-compliance by your employees or agents.

5.3 Survival. Confidentiality obligations under this Section survive termination of the Agreement for a period of five (5) years from the date of disclosure; provided that obligations regarding trade secrets survive for as long as such information remains subject to trade secret protection under applicable law.

6.1 Airvue IP. You acknowledge that Airvue owns and retains all right, title, and interest, including all intellectual property rights, in and to the Site and the Data Services. You further acknowledge that: (i) the Data Services are an original compilation protected by applicable copyright laws; (ii) Airvue has dedicated substantial resources to collect, process, and compile the Data Services; and (iii) the Data Services constitute trade secrets of Airvue.

6.2 License Scope. Your subscription grants you a personal, non-exclusive, non-transferable, revocable license to access and use the Data Services for your own internal business purposes. This license does not include the right to reproduce, redistribute, or create derivative works based on Airvue's content, data, or analytics.

6.3 Feedback. If you provide Airvue with ideas, suggestions, or feedback pertaining to the Data Services, you grant Airvue a non-exclusive, perpetual, irrevocable, royalty-free license to use such feedback for any purpose.

7.1 Prohibition. You shall not, and shall not permit any third party to: (i) use, input, upload, or otherwise make available any Airvue content to any AI system (including machine learning models, large language models, generative AI tools, vector databases, or embedding systems) for the purposes of training, fine-tuning, benchmarking, or improving such system; (ii) use any Airvue content as prompts or inputs to any third-party AI system unless such system does not retain, train on, or otherwise use the inputs or outputs to improve its models; (iii) authorize any AI system provider to cache or reuse Airvue content or outputs derived therefrom beyond what is strictly necessary for immediate inference for your internal use; or (iv) circumvent or remove any technical measures intended to prevent AI training or automated extraction of Airvue content.

7.2 Outputs. Any outputs generated by an AI system using Airvue content remain subject to the restrictions in these Terms and may not be used to create any substitute or competitive product or dataset, nor to train or improve any AI system.

7.3 Enforcement. Any breach of this Section is deemed a breach of Section 2.4 and may result in immediate termination and equitable relief.

Airvue aggregates data from publicly available sources, including short-term rental platforms and official government records. Our data is refreshed regularly to provide up-to-date market insights.

Important limitations: - Revenue, occupancy, and yield figures are estimates based on statistical models, not actual financial records - Data may not reflect real-time market conditions - Market statistics are aggregated at the arrondissement level and may not represent conditions for specific properties

Airvue explicitly assumes no liability for the quality, accuracy, completeness, or validity of the data contained in its Data Services, as such data is compiled from multiple sources and is subject to change. You acknowledge this disclaimer and waive any claims for damages if the data ultimately proves inaccurate or incorrect.

Airvue is an informational tool only. Nothing on our platform constitutes financial, investment, legal, or tax advice.

Our revenue estimates, rental yields, investment scores, and market analyses are based on publicly available data and statistical models. They should not be the sole basis for any investment, purchasing, or business decision.

You are solely responsible for your own investment decisions. We strongly recommend consulting qualified financial advisors, real estate professionals, and legal counsel before making any investment in short-term rental properties.

Airvue is not a licensed financial advisor, real estate agent, or investment firm. Past market performance shown on our platform does not guarantee future results.

You must create an account to access the Data Services. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

Accounts are personal and non-transferable. You may not share your account credentials or allow multiple individuals to use a single account. Airvue reserves the right to terminate accounts that it reasonably believes are being shared.

You agree to provide accurate information during registration and to keep your account information up to date. You must notify us immediately of any unauthorized use of your account.

11.1 Mutual Warranties. Each party represents and warrants that it has the legal power and authority to enter into this Agreement.

11.2 Disclaimer. THE SITE AND DATA SERVICES ARE PROVIDED "AS IS" AND AIRVUE HEREBY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. AIRVUE SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. AIRVUE MAKES NO WARRANTY THAT THE DATA SERVICES WILL MEET YOUR REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, BE SECURE, ACCURATE, COMPLETE, OR ERROR FREE.

11.3 Data Accuracy Disclaimer. Airvue explicitly assumes no liability for the accuracy or completeness of data compiled from third-party sources. You acknowledge this disclaimer and waive any legal claims for damages if the data proves inaccurate.

IN NO EVENT WILL AIRVUE BE LIABLE UNDER OR IN CONNECTION WITH THESE TERMS UNDER ANY LEGAL OR EQUITABLE THEORY FOR ANY: (i) CONSEQUENTIAL, INCIDENTAL, INDIRECT, EXEMPLARY, SPECIAL, OR PUNITIVE DAMAGES; (ii) INCREASED COSTS, DIMINUTION IN VALUE, OR LOST BUSINESS, PRODUCTION, REVENUES, OR PROFITS; (iii) LOSS OF GOODWILL OR REPUTATION; (iv) USE, INABILITY TO USE, LOSS, INTERRUPTION, DELAY, OR RECOVERY OF ANY DATA; OR (v) COST OF REPLACEMENT GOODS OR SERVICES — IN EACH CASE REGARDLESS OF WHETHER AIRVUE WAS ADVISED OF THE POSSIBILITY OF SUCH LOSSES OR DAMAGES.

AIRVUE IS NOT LIABLE FOR ANY INVESTMENT LOSSES, BUSINESS LOSSES, OR FINANCIAL DECISIONS MADE BASED ON AIRVUE'S DATA OR ANALYTICS.

IN NO EVENT WILL AIRVUE'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS EXCEED THE AMOUNTS ACTUALLY PAID BY YOU DURING THE TWELVE (12) MONTHS PRIOR TO THE DATE ON WHICH SUCH CLAIM AROSE. THE FOREGOING LIMITATION APPLIES EVEN IF YOUR REMEDIES UNDER THIS AGREEMENT FAIL OF THEIR ESSENTIAL PURPOSE.

You agree to indemnify, defend, and hold harmless Airvue, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: - Your use of the Data Services - Your violation of these Terms - Your violation of any third-party rights - Any investment or business decisions made using Airvue's data - Your breach of the confidentiality or AI use restrictions herein

14.1 Term. The Agreement begins on the date you create an account or purchase a subscription and continues for the duration of your subscription period, renewing automatically unless cancelled.

14.2 Auto-Renewal. Your subscription will automatically renew for successive periods equal to your original subscription period unless you cancel before the renewal date.

14.3 Termination for Cause. Airvue may terminate the Agreement immediately upon written notice if you: (i) fail to pay any amount when due; (ii) breach any of your obligations under Sections 2.4, 5, or 7; or (iii) engage in fraudulent or abusive behavior. Airvue reserves the right to terminate any subscription if it detects unauthorized usage or abuse of the Data Services.

14.4 Effect of Termination. Upon termination, your license and right to access the Data Services cease immediately. You shall cease using and delete all copies of data obtained from the Data Services. Termination does not entitle you to a refund for any remaining subscription period. Airvue may retain anonymized usage data for analytical purposes.

14.5 Survival. Sections 3 (Fees), 4 (No Refunds), 5 (Confidential Information), 6 (Intellectual Property), 7 (AI Restrictions), 8 (Data Accuracy), 9 (Not Investment Advice), 11 (Disclaimers), 12 (Limitation of Liability), 13 (Indemnification), and 15–18 survive termination of the Agreement.

Neither party shall be liable for any failure or delay in performing its obligations (except payment obligations) if such failure or delay is caused by circumstances beyond that party's reasonable control, including but not limited to: acts of God, natural disasters, pandemics, war, terrorism, civil unrest, government actions, embargoes, strikes, significant interruption or elimination of data sources, or third-party service outages.

These Terms are governed by the laws of France, without regard to conflict of law principles. Any disputes arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts of France.

In accordance with Article L.612-1 of the French Consumer Code, you may resort to a consumer mediation service in the event of a dispute. The European Commission provides an online dispute resolution platform at https://ec.europa.eu/consumers/odr.

17.1 Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Airvue regarding the Data Services and supersede all prior agreements and understandings.

17.2 Severability. If any provision of these Terms is found invalid or unenforceable, the parties shall negotiate in good faith to modify these Terms to effect the original intent as closely as possible, and the remaining provisions shall continue in full force.

17.3 No Waiver. No failure to exercise or delay in exercising any right under these Terms shall operate as a waiver thereof. No single or partial exercise of any right shall preclude any other or further exercise thereof.

17.4 Assignment. You may not assign or transfer any rights or obligations under these Terms without Airvue's prior written consent. Any purported assignment in violation of this Section is null and void.

17.5 Amendments. Airvue reserves the right to update these Terms periodically. Material changes will be communicated via email at least 14 days before taking effect. Continued use of the Data Services after changes take effect constitutes acceptance. Airvue may update, upgrade, or discontinue any aspect of the Data Services; if a material feature is discontinued, Airvue will provide a reasonable alternative.

17.6 Notices. All notices must be in writing and sent to support@airvue.io for Airvue, or to the email address associated with your account for you.
